1. The MedicalPRO Platform — One Integrated System

MedicalPRO Group Pte Ltd operates a single, integrated healthcare technology platform consisting of multiple connected components, including the Clinic Management Platform, MyHealth (the Patient Portal), the Association Hub, the Vendor Platform, and the MedicalPRO Network.

These components are not separate companies, products, or services. They are modules of one Platform operated by one entity, MedicalPRO Group Pte Ltd, sharing one underlying data and security architecture. This Agreement, together with the corresponding agreements for each other module, forms part of a single, consistent legal framework governing the Platform as a whole.

2. Scope of the Vendor Platform

The Vendor Platform allows a registered Vendor to:

  • Create and maintain a product or service catalog visible to Clinics using MedicalPRO
  • Receive and respond to quote requests from Clinics
  • Manage a sales pipeline of deals, from initial inquiry through to order confirmation
  • Generate and share invoices in connection with confirmed orders
  • Maintain a customer relationship management (CRM) record of Clinic clients and prospects
  • Access analytics relating to the Vendor's own sales pipeline and performance on the Platform

MedicalPRO provides technology infrastructure and software services only. MedicalPRO is not a party to, and assumes no responsibility for, the commercial relationship, sale, purchase, delivery, or payment arrangement between a Vendor and a Clinic. This is addressed further in Section 9.

3. Eligibility

The Vendor Platform may only be used by a legally registered business entity authorized to sell, supply, or distribute healthcare-related products, equipment, or services. By registering, the Vendor represents that:

  • It is a validly constituted business entity
  • It is legally permitted to offer the products or services it lists on the Platform
  • The individual registering the account has authority to bind the Vendor to this Agreement

4. Account Registration and Security

The Vendor must provide accurate registration and business information, maintain the confidentiality of account credentials, and restrict system access to authorized personnel. The Vendor is fully responsible for all activity conducted through its account, including the actions of its employees and representatives, and must notify MedicalPRO immediately if unauthorized access is suspected.

5. Subscription, Fees, and Payment

Where applicable, Vendors agree to pay subscription fees, listing fees, or service charges associated with Vendor Platform usage, as communicated by MedicalPRO at the time of registration or renewal. Failure to pay may result in suspension of access, restriction of platform services, or account termination.

No Refund Policy — All subscription fees paid to MedicalPRO are non-refundable, consistent with the payment terms applicable across the MedicalPRO Platform. If a Vendor cancels mid-subscription, access continues until the end of the paid subscription period, with no refund for remaining days.

6. Cancellation

A Vendor may cancel its subscription by providing 30 days written notice to MedicalPRO, submitted by email to info@medicalprosoftware.com or via the MedicalPRO Support Portal. Upon cancellation:

  • The Vendor retains access until the end of the current paid subscription period
  • The Vendor may request an export of its catalog and CRM data within 30 days of the subscription end date
  • All Vendor data will be permanently deleted 30 days after the subscription end date

7. Catalog and Quote Accuracy

The Vendor is solely responsible for the accuracy, currency, and legality of all product listings, pricing, specifications, and quotes it publishes or issues through the Vendor Platform. MedicalPRO does not review, verify, or endorse the accuracy of any Vendor's catalog or pricing, and assumes no liability for errors, omissions, or misrepresentations in Vendor-supplied content.

8. Acceptable Use

The Vendor shall not use the Platform for unlawful purposes, upload malicious software or code, attempt to reverse engineer the Platform, misrepresent its products, pricing, or business identity, share system access with unauthorized persons, or attempt to interfere with platform security. MedicalPRO may suspend or restrict accounts that violate these rules.

9. No Marketplace Liability

MedicalPRO facilitates discovery and connection between Vendors and Clinics through the Vendor Platform. MedicalPRO is not a party to any transaction, contract, or agreement formed between a Vendor and a Clinic, does not process payment between the two parties, and is not responsible for order fulfillment, product quality, delivery, warranty, or any dispute arising between a Vendor and a Clinic. Any such dispute is a matter solely between the Vendor and the relevant Clinic.

10. Intellectual Property

All rights, title, and interest in the Vendor Platform and the wider MedicalPRO Platform, including software code, system architecture, and platform design, remain the exclusive property of MedicalPRO Group Pte Ltd. The Vendor receives a limited, non-transferable license to use the Vendor Platform solely for its own sales and business operations. No ownership rights in the Platform are transferred.

11. Business Data Ownership

All catalog, pricing, CRM, and business data uploaded by the Vendor remains the property of the Vendor. MedicalPRO does not claim ownership of any Vendor-supplied data. MedicalPRO processes such data solely to provide Vendor Platform services, consistent with the data ownership position applied to Clinics under the Clinic Platform Terms of Service.

12. Platform Availability

MedicalPRO will use commercially reasonable efforts to maintain the availability of the Vendor Platform. The Platform is provided "as available" and "as is." MedicalPRO does not guarantee uninterrupted service and is not liable for temporary downtime due to maintenance, upgrades, security events, infrastructure issues, or force majeure events.

13. Suspension and Termination

MedicalPRO may suspend or terminate a Vendor's access if these Terms are violated, payment obligations are not met, misuse of the Platform occurs, security risks arise, or legal compliance requires suspension.

14. Limitation of Liability

To the fullest extent permitted by law, MedicalPRO's total liability arising from or related to the Vendor Platform shall not exceed the total service fees paid by the Vendor during the twelve (12) months preceding the claim. MedicalPRO shall not be liable for indirect damages, loss of profits, disputes between the Vendor and a Clinic, or losses arising from inaccurate catalog or pricing information supplied by the Vendor. This limitation does not apply to liability arising from willful misconduct, fraud, or gross negligence where prohibited by law.

15. Indemnification

The Vendor agrees to indemnify and hold MedicalPRO harmless from claims arising from:

  • Unlawful use of the Platform
  • False or misleading product or pricing claims
  • Disputes with a Clinic arising from the Vendor's own commercial terms or conduct
  • Unauthorized upload of third-party data

16. Governing Law

This Agreement shall be governed by the laws of Singapore, consistent with the governing law provisions applicable across the MedicalPRO Platform. Where personal data of individuals located in the Philippines is processed in connection with this Agreement, such processing shall comply with the Philippine Data Privacy Act of 2012 (Republic Act No. 10173). Any disputes shall be subject to the exclusive jurisdiction of the courts of Singapore.

17. Changes to This Agreement

MedicalPRO reserves the right to update this Agreement with reasonable notice to registered Vendors. Continued use of the Vendor Platform after notification constitutes acceptance of the updated terms.
